§ 01Acceptance of terms
These Terms of Service ("Terms") form a binding agreement between you, the customer ("you", "Customer"), and LeadAxis, operated by AmalAxis ("LeadAxis", "we", "us"). By signing up, accessing the dashboard, or using any part of the Service, you agree to these Terms and our Privacy Policy.
If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company. If you do not agree, you may not use the Service.
§ 02Description of service
LeadAxis is a fully managed B2B lead generation service. We define your Ideal Customer Profile (ICP), source matching contacts from licensed databases, score leads, place AI-generated outbound calls on your behalf, and deliver qualified leads with recordings and transcripts to your dashboard.
Specific deliverables (number of leads, calling minutes, included features) depend on your selected plan as published at leadaxis.amalaxis.ai/#pricing at the time of subscription. We may update plan contents and pricing for new subscriptions; existing subscriptions are honored at the agreed terms until renewal.
§ 03Eligibility & account
- You must be at least 18 years old and have legal capacity to enter contracts.
- The Service is for business use only. Consumer / personal use is not permitted.
- You must provide accurate registration information and keep it current.
- You are responsible for safeguarding your account credentials and for all activity under your account.
§ 04Subscription, pricing & billing
A. Plans & setup
- Starter — $499/month plus a one-time setup fee of $500–$700, includes 100 qualified leads and 300 AI calling minutes per month.
- Growth — $999/month plus a one-time setup fee of $700–$900, includes 300 qualified leads and 900 AI calling minutes per month.
- Pro — $1,999/month plus a one-time setup fee of $1,000–$1,500, includes 1,000 qualified leads and 3,000 AI calling minutes per month.
Live call transfer and other add-ons may be available at additional fees as published on the pricing page. Setup fees are non-refundable once onboarding begins.
B. Billing
- Subscriptions are billed monthly in advance. Setup fees are billed at signing.
- All fees are stated in U.S. dollars and exclusive of taxes; you are responsible for applicable taxes.
- Failed payments may result in suspension. We may charge late fees and recover collection costs to the extent permitted by law.
C. Cancellation & refunds
- Subscriptions are month-to-month. You may cancel at any time with at least 7 days' notice before the next renewal date.
- Cancellations take effect at the end of the current billing cycle. We do not pro-rate or refund partial months, except where required by law.
- Unused leads or calling minutes do not roll over and are not refundable.
§ 05Onboarding & setup
During onboarding, we will collaborate with you to define your ICP, configure your dedicated US phone number, script and approve the AI agent's messaging, and connect your dashboard. You are responsible for timely review and approval of scripts and configurations. Most customers are live within 48–72 hours after kickoff once required inputs are received.
§ 06AI calling & compliance
You acknowledge and agree that:
- Calls are placed by an AI voice agent. The agent identifies itself, your company, and the offer at the start of each call as required by applicable law.
- You will provide accurate information about your offer and authorize us to call on your behalf in connection with that offer.
- You are responsible for ensuring that your offer, scripts, and target geography comply with applicable laws including, where relevant, the U.S. Telephone Consumer Protection Act (TCPA), Telemarketing Sales Rule (TSR), CAN-SPAM, state-level "mini-TCPA" laws, the Canadian CRTC rules, the UK PECR, and equivalent regulations.
- We honor opt-out requests and Do-Not-Call lists. You agree not to override or attempt to bypass these mechanisms.
- You will not use the Service to target consumers (B2C), call protected numbers, or contact recipients in jurisdictions where such calls are prohibited.
§ 07Lead quality & no guarantees
We use enterprise-grade B2B databases and proprietary scoring to deliver leads matching your ICP. We do not guarantee specific business outcomes (revenue, conversion rate, ROI) or that any lead will respond, qualify, or close. Lead counts and minutes are best-effort within reasonable variance based on inputs and market conditions.
If a delivered lead's contact information is materially inaccurate (wrong company, role, or contact details), notify us within 14 days and we will replace it at no additional cost where reasonable.
§ 08Acceptable use
You agree not to use the Service to:
- Promote, market, or sell unlawful, fraudulent, harmful, deceptive, or misleading products or services.
- Target individuals based on protected characteristics, prey on vulnerable populations, or engage in discriminatory outreach.
- Distribute malware, phishing content, hate speech, adult / gambling / firearms content where prohibited, or any content infringing intellectual property.
- Reverse engineer, scrape, or attempt to derive the source code or models behind the Service.
- Resell, white-label, or sublicense the Service without our written consent.
- Interfere with or disrupt the Service, our infrastructure, or any third-party systems.
We may suspend or terminate accounts that violate this section without prior notice.
§ 09Customer data
"Customer Data" means information you provide to us or that we generate on your behalf (lead records, call recordings, transcripts, notes). You retain ownership of Customer Data. You grant us a limited, worldwide, non-exclusive license to host, process, and transmit Customer Data solely to provide and improve the Service, comply with law, and exercise our rights under these Terms.
Our handling of personal data is described in our Privacy Policy. Where you act as data controller and we act as processor, the parties will, on request, enter into a data processing addendum on standard terms.
§ 10Intellectual property
The Service, including the AI calling agent, dashboards, scoring models, software, designs, and branding, is owned by LeadAxis / AmalAxis and is protected by intellectual property laws. We grant you a limited, non-transferable, non-exclusive license to use the Service during your subscription, solely as permitted by these Terms.
Feedback you provide is given freely and may be used by us without obligation.
§ 11Confidentiality
Each party may receive non-public information from the other ("Confidential Information"). The receiving party will use it solely to perform under these Terms, protect it with at least reasonable care, and not disclose it to third parties except to employees, contractors, and advisors bound by confidentiality obligations or as required by law.
§ 12Termination
- By you — cancel anytime under Section 4(C).
- By us — we may suspend or terminate immediately for material breach (including violations of Section 6 or Section 8), non-payment after a 7-day cure period, or if continued service would violate law.
- Effect — upon termination, your right to access the Service ends. We will make Customer Data available for export for 30 days, after which we may delete it consistent with our Privacy Policy.
§ 13Disclaimers
§ 14Limitation of liability
To the maximum extent permitted by law:
- Neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or loss of business, even if advised of the possibility.
- Our aggregate liability arising out of or relating to these Terms or the Service will not exceed the fees you paid to us in the 12 months preceding the event giving rise to the claim.
- Nothing in these Terms limits liability for fraud, willful misconduct, or any liability that cannot be limited by law.
§ 15Indemnification
You will defend, indemnify, and hold harmless LeadAxis, AmalAxis, and our affiliates and personnel from any third-party claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service in breach of these Terms, (b) your offer, content, scripts, or instructions, including any allegation that they violate applicable telemarketing, advertising, or consumer protection laws, or (c) infringement of third-party rights by Customer Data you supply.
§ 16Governing law & dispute resolution
These Terms are governed by the laws of the jurisdiction in which AmalAxis is incorporated, without regard to conflict-of-laws principles. The parties will first attempt to resolve disputes through good-faith negotiation. Unresolved disputes will be submitted to the exclusive jurisdiction of the courts located in that jurisdiction, except either party may seek injunctive relief in any competent court for protection of its intellectual property or confidential information.
§ 17Changes to these terms
We may modify these Terms from time to time. Material changes will be posted here with a revised "Last Updated" date and, where appropriate, communicated by email or in-product notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
